ΠΑΠΟΥΤΣΑΝΗΣ ΑΒΕΕU: Update of the percentage of participation of Truad Verwaltungs A.G.
The company PAPOUTSANIS SA (the Company), according to the law. 3556/2007, Regulation 596/2014 and the Euronext Athens Stock Exchange Regulation, each as applicable, informs the investing public that due to distribution of profits from previous years in kind through the distribution of shares owned by the Company, the percentage of voting rights controlled indirectly by Truad Verwaltungs A.G. amounts today to 21,33% of the total voting rights of the Company’s shares (corresponding to 5.779.897 common, registered, voting shares of the Company) through the control by Truad of its 100% subsidiary “Kar-Tess Holding Ltd”, formerly known as Torval Investment Corp. Limited, which owns 100% of the issued share capital of “Thrush Investment Holdings Limited”, which holds:
- directly 20,14% of the total number of voting rights (corresponding to 5.457.673 voting rights and equal number of common voting registered shares); And
- indirectly through the control of “Eagle Enterprises S.A.” a percentage of 1,19% of the total number of voting rights (corresponding to 322.224 voting rights and equal number of common voting registered shares) of the Company (“Eagle Enterprises S.A.” is controlled as follows: “Kar-Tess Holding Ltd.” owns 100% of the issued share capital of “Thrush Investment Holdings Limited” which owns 100% of the issued share capital of “Eagle Enterprises S.A.”).
It is noted that the aforementioned change, i.e. the increase from 21,13% of the total voting rights of the Company, notified to the Company on the basis of the relevant TR1 notification on 09.02.2022, to 21,33% does not exceed the limits of article 9 of Law 3556/2007.
Furthermore, Truad controls and exercises the aforementioned voting rights at its discretion without receiving any specific directions or instructions by the beneficiaries of the Trust or any other person and there is no other person who controls (within the meaning of Law 3556/2007) Truad.
